Terms and Conditions of Use

For the purposes of these Terms and Conditions, the following definitions shall apply:

• "The Platform": AgenciasHub, the cloud-based management system (SaaS) developed and operated by Servicios Digitales y Empresariales del Caribe S.A. de C.V.
• "The User": The individual or legal entity (travel agency) that registers for and uses the AgenciasHub services.
• "The Service": The access to and use of the AgenciasHub platform as a business management tool for travel agencies.

AgenciasHub is a software-as-a-service (SaaS) platform designed specifically for the comprehensive management of travel agencies. The service allows users to:

• Manage hotel, flight, tour, transfer, and car rental reservations
• Manage the customer database and travel history
• Control payments, invoicing, and accounts receivable
• Calculate and track sales team commissions
• Automate customer communications via email
• Generate professional vouchers and travel documents
• View business metrics and reports in real time

To use AgenciasHub, the user must complete the registration process by providing truthful and up-to-date information. The user agrees to:

• Provide accurate and complete information during registration
• Maintain the confidentiality of their access credentials
• Immediately report any unauthorized use of their account
• Not share their credentials with persons outside their organization

Access to the platform is personal and non-transferable according to the contracted plan. The Agencias Start Plan allows up to 3 simultaneous users, while the Agencias Pro Plan allows up to 7 users.

AgenciasHub offers the following subscription plans:

Agencias Start Plan — $999 MXN/month — Up to 3 users, full CRM functionality.

Agencias Pro Plan — $1,999 MXN/month — Up to 7 users, customized corporate branding.

No setup fee is charged. Prices are expressed in Mexican pesos (MXN) and include VAT. AgenciasHub reserves the right to modify prices with a minimum of 30 calendar days' prior notice.

AgenciasHub offers a free 14-day trial period with full access to all of the platform's features. During this period:

• No credit card or payment details are required
• The user has access to all features of the selected plan
• At the end of the 14 days, the user may purchase a paid plan to continue using the service
• If no plan is purchased, the account will be suspended (data will be retained for an additional 30 days)

Subscription charges are billed in advance, either monthly or annually according to the user's preference. The following payment methods are accepted:

• Credit or debit card
• Bank transfer
• Other methods specified on the platform

In the event of non-payment, access to the platform will be suspended until the situation is resolved. A tax invoice (CFDI) will be issued for each payment made, for which the user must provide their complete tax information.

AgenciasHub operates without any minimum-term contract. The user may cancel their subscription at any time from their administration panel or by contacting support. In the event of cancellation:

• The service will remain active until the end of the period already paid for
• No refunds will be issued for unused partial periods
• The user may export their data before the account is deactivated
• Data will be retained for 30 days following cancellation

AgenciasHub, including its source code, design, logo, brand, trade name, and all platform content, is the exclusive property of Servicios Digitales y Empresariales del Caribe S.A. de C.V. The reproduction, distribution, modification, or unauthorized use of any element of the platform is prohibited.

All data that the user uploads to the platform (customer information, reservations, documents, etc.) is and shall remain the exclusive property of the user. AgenciasHub:

• Will not use the user's data for purposes other than providing the service
• Will not share or sell the user's information to third parties
• Implements security measures to protect stored data
• Facilitates the export of data should the user decide to cancel the service

AgenciasHub commits to maintaining a monthly service availability (uptime) of 99%. Ongoing improvements and updates will be made to the platform. Scheduled maintenance windows will be communicated at least 24 hours in advance via email and/or notices within the platform.

AgenciasHub shall not be liable for:

• Losses or damages arising from the user's misuse of the platform
• Service interruptions caused by third parties (internet providers, hosting services, payment processors)
• Force majeure events (natural disasters, conflicts, etc.)
• Business decisions made by the user based on information from the platform
• Data loss caused by the user's actions or failure to follow the security recommendations

Servicios Digitales y Empresariales del Caribe S.A. de C.V. reserves the right to modify these Terms and Conditions at any time. Changes will be notified to users by:

• Email to the registered address
• Notice within the platform

A minimum of 15 calendar days' prior notice will be given before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the new terms.

These Terms and Conditions are governed by the laws in force in the United Mexican States. For any dispute arising from the interpretation or fulfillment of these terms, the parties expressly submit to the jurisdiction of the competent courts of the city of Cancún, Quintana Roo, Mexico, waiving any other jurisdiction to which they may be entitled by reason of their present or future domicile.
